Smart Backload

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Smart Backload governing your access to and use of the Smart Backload mobile application, website, and related services. By creating an account or using Smart Backload, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Services.

1. Introduction and Entity Information

Smart Backload operates a technology platform designed to connect transporters with freight managers and brokers to facilitate efficient freight transportation and backhaul utilization. Smart Backload is not a freight carrier, broker, or logistics company; it only provides the digital platform that enables these connections. References to "we", "us", or "our" in these Terms refer to Smart Backload as the platform operator.

2. User Accounts

To access certain features of the app, you must create an account.

  • Eligibility: You must be at least 18 years old, legally capable of entering into binding agreements, and provide accurate, complete registration information.
  • Security: You are responsible for maintaining the security of your device, authentication credentials, and any OTP codes sent to you. You must promptly notify us of any suspected unauthorized access.
  • Responsibility: You are solely responsible for all activities that occur under your account, including load postings, bids, communications, and any obligations you enter into with other users.
  • Termination: We may suspend or terminate your account at our discretion if you violate these Terms, engage in fraud or illegal activity, misuse the platform, or otherwise create risk for other users or the platform.

3. Services, Device Permissions, and Media Uploads

Smart Backload operates a digital platform where transporters can create load requests and freight managers or brokers can submit offers or bids. To provide core functionality, the app may request access to certain device features:

Camera and Photo Library: We may request access to your device's camera and photo gallery so that you can capture, select, and upload media content (such as profile images, company logos, or shipment-related images). By granting this permission, you acknowledge that we may process and store these files on our servers as needed to operate the platform.

Geolocation: The app may request access to your device location when you choose to use features such as "Use Current Location" for pickup or drop-off points. You can enable or disable location services through your device settings at any time, though some features may become unavailable as a result. Smart Backload does not continuously track your location in the background.

4. User-Generated Content and Conduct

Smart Backload allows users to create, upload, or share content and information in connection with loads, offers, profiles, and communications.

Ownership: You retain ownership of the content you post. However, by submitting or uploading content, you grant Smart Backload a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute that content as necessary to operate, improve, and market the platform.

Prohibited Content: You agree not to upload or engage in content or conduct that is:

  • Illegal, fraudulent, misleading, or in violation of applicable transportation and logistics laws.
  • Hateful, discriminatory, harassing, explicit, obscene, or defamatory.
  • Infringing on the intellectual property or privacy rights of others.
  • Spam, phishing, bid manipulation, or any behavior intended to game auctions or RFQ processes.

Monitoring: We reserve the right, but not the obligation, to monitor and remove content, suspend activities, or take enforcement action where we determine that these Terms have been or may be violated.

5. Insurance, Liability, and Intellectual Property

Users are responsible for maintaining all required licenses, permits, and insurance (including cargo and liability coverage) necessary to perform transportation activities. Smart Backload is not responsible for cargo loss, damage, accidents, or disputes between users. All Smart Backload software, branding, and platform content are the intellectual property of Smart Backload; users retain ownership of their own submitted content but grant Smart Backload a license to use it for platform operation and analytics.

If you believe your intellectual property rights have been infringed within the platform, your notice should include:

  • Identification of the copyrighted work claimed to have been infringed.
  • Identification of the material that is claimed to be infringing and its location in the app.
  • Your contact information (address, telephone number, and email).
  • A statement of good faith belief that the use is not authorized.

6. Privacy and Data Protection

Your privacy is important to us. Smart Backload handles personal information in accordance with its Privacy Policy, which explains what data we collect, how we use it, and how it is protected. By using the Services, you also agree to the terms of the Privacy Policy.

  • We collect only the data necessary to provide and improve our services, including account details, location (when you choose to share it), and uploaded media.
  • We may generate aggregated and anonymized market insights that do not identify individuals.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Smart Backload platform and Services are provided on an "as-is" and "as-available" basis without warranties of any kind, express or implied.
  • Smart Backload does not guarantee platform availability, transaction success, user behavior, or the accuracy of user-generated content or third-party information.
  • Smart Backload is not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of data, cargo, or revenue, arising out of or related to your use of the Services.

9. Changes to Terms

We may update these Terms from time to time, for example to reflect changes in our Services, business, or legal requirements. We will notify users of material changes by posting an updated version within the app or by other reasonable means. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

10. Governing Law

These Terms, and any disputes arising out of or related to them or your use of the Services, are governed by the laws of the jurisdiction in which Smart Backload operates, without regard to conflict-of-law principles. Disputes should first attempt informal resolution; if unresolved, they may be subject to binding arbitration or other dispute resolution mechanisms as specified by Smart Backload.
